Purpose:

We are seeking a Senior Counsel to join Athene's retail legal team and provide high value, comprehensive, accurate and timely legal and strategic advice to Athene’s growing and retail annuity and private placement annuity business. The Senior Counsel will work directly with Athene's retail annuity and global wealth teams, as well as colleagues throughout the legal and compliance team and in other Athene functional areas to provide advice and legal support for the day-to-day functioning of a growing, and industry-leading retirement services company. A successful candidate should have extensive experience in life insurance company products, tax law and/or securities law, state insurance law, distribution, and operations.

The Senior Counsel will be a member of Athene's retail legal team and will work directly with Athene's retail annuity and global wealth teams, as well as colleagues throughout the legal and compliance team and in other Athene functional areas to provide advice and legal support for the day-to-day functioning of Athene's retail annuity and private placement annuity operations. The position reports directly to the Vice President, Legal Retail.

Accountabilities:

  • Close involvement with senior business members on product development of complex fixed, fixed indexed annuity and variable annuity products

  • Serve as strategic legal advisor on private placement insurance transactions, collaborating directly and regularly with Athene's insurance business teams and legal colleagues.

  • Collaborate with senior business leaders and members of the legal department on operational initiatives.

  • Work with internal clients to analyze and resolve service and operational issues.

  • Providing legal support to Company departments, including sales, marketing, operations, and compliance

  • Serve as go-to advisor on regulatory matters affecting Athene’s private placement annuity business.

  • Lead coordination of various Athene functional areas in order to advise on and facilitate business initiatives.

  • Lead evaluation of and present to senior leadership on matters and transactions

  • Build and maintain partnerships with internal stakeholders as well as contacts within the broader legal & and compliance community.

Qualifications and Experience:

  • Juris Doctor degree (JD) and 7+ years of experience in the field of law, including financial services/insurance or another regulated industry.

  • Experience with federal securities laws, including FINRA Rules, or tax laws regulating insurance products.

  • Experience with SEC registration statement filings including N4 and S1

  • Sophisticated knowledge of annuity service, operations, and regulatory requirements

  • Desire to become subject matter expert with respect to a variety of transactions.

  • Ability to perform securities laws and/or tax research using multiple resources.

  • Work collaboratively and successfully with employees, customers, and external advisors.

  • Outstanding judgment with ability to use independent judgment, think commercially, establish priorities, delegate, drive processes forward and work effectively on multiple initiatives concurrently.

  • Capacity to consider, process and filter large amounts of complex information quickly and identify appropriate actions in a fast-paced environment.

  • Ability to lead competing priorities of a variety of fast-paced, dynamic business.

  • Superior communication skills and ability to communicate complex topics succinctly to senior Ability to work across enterprise and communicate complex topics succinctly to senior business and legal team members.

  • Willingness to travel periodically.
